  1. Legal Notices

  3. READ CAREFULLY BEFORE USING
  4. You should carefully read all the terms and conditions of this agreement 
  5. prior to using this software.  If you do not agree to the terms of this 
  6. agreement, do not open the disk package and do not install the software.  
  7. Promptly return the unopened disk package and other items that are part of 
  8. this product to the place you obtained them for a full refund.
  9.  
  10. PRODUCT: "Search Express" software and related items.
  11. License 
  12. You have the non-exclusive license to use the software product identifies 
  13. above on a single computer.  You may use the software on a network provided 
  14. you have purchased a number of software packages equal to the maximum number 
  15. of copies in use by you at any one time.
  16.  
  17. RESTRICTIONS
  18. You may not sub license, assign, transfer, loan, rent or lease the software 
  19. of your rights under this license except as expressly provided in this 
  20. Agreement.  Any attempt otherwise to sub license, assign, transfer, loan, 
  21. rent or lease the software or your rights under this license is void and 
  22. will result in termination of this Agreement.

  24. Individuals who wish to distribute the Search Express package to friends or 
  25. associates may do so freely in accordance with the restrictions outlined in 
  26. LICENSE.TXT

  28. You may not alter, merge, modify or adapt the software in any way including 
  29. disassembling or decompiling, or attempt to do any of the foregoing, without 
  30. the prior written consent of Phantech Software Inc. You may not use, copy, 
  31. modify, or transfer the software or any copy, modification or merged portion 
  32. thereof in whole or in part, except as expressly provided for herein.

  34. BACK-UP
  35. You may make back-up copies of the software but not of the user 
  36. documentation. Each backup copy must include the copyright notice included 
  37. in this Agreement. The installation of the software on your hard drive is 
  38. permitted subject to these conditions.

  40. COPYRIGHT
  41. Phantech Software Inc. owns all intellectual property rights in the 
  42. software and the user documentation.  These rights are protected by Canadian 
  43. and United States copyright laws, other applicable copyright laws, and 
  44. international treaty provisions.  Phantech Software Inc. retains all rights 
  45. in the software and user documentation not expressly granted under this 
  46. Agreement.

  48. TERM
  49. This license is effective until terminated in accordance with this 
  50. Agreement. You may terminate it at any time by destroying the software and 
  51. user documentation together with all copies, modifications and merged 
  52. portions in any form. Your license will also terminate upon conditions set 
  53. forth elsewhere in this Agreement or if you fail to comply with any term or 
  54. condition of this Agreement.  You agree that upon such termination you will 
  55. destroy the software and the user documentation together with all copies, 
  56. modifications and merged portions in any form.
  57.  
  58. LIMITED WARRANTY
  59. Phantech Software Inc. warrants the supplied diskettes to be free from 
  60. defects in materials and workmanship under normal use for a period of ninety 
  61. (90) days from the date of delivery to you as evidenced by a copy of your 
  62. receipt. The software and user documentation is provided "as is" without 
  63. warranty of any kind, either express or implied, statutory or otherwise, 
  64. including but not limited to any implied warranties of merchantability and 
  65. fitness for a particular purpose. The entire risk as to the quality and 
  66. performance of the software is with you.  Should the software prove 
  67. defective, you (and not Phantech Software Inc. or its authorized dealer) 
  68. assume the entire cost and responsibility for all necessary servicing, 
  69. repair or correction.  For greater certainty, Phantech Software Inc. 
  70. does not warrant that the functions contained in the software will meet your 
  71. requirements or that the operation of the software will be uninterrupted or 
  72. error free.  The warranty and remedies set forth herein are exclusive and in 
  73. lieu of all others, oral or written, express or implied.   No authorized 
  74. dealer, distributor, agent or employee of Phantech Software Inc. is 
  75. authorized to make any modification, or addition to this warranty.  Some 
  76. states do not allow the exclusion of implied warranties, so the above 
  77. exclusion may not apply to you.  This warranty gives you specific legal 
  78. rights and you may also have other rights which vary from state to state.
  79.  
  80. LIMITATIONS OF REMEDIES
  81. Because software is inherently complex and may not be completely free of 
  82. errors, you are advised to verity your work and to make back-up copies. The 
  83. liability of Phantech Software Inc. and your exclusive remedy shall be (a) 
  84. the replacement of any diskettes not meeting the limited warranty provided 
  85. above, so long as the diskettes are returned to Phantech Software Inc. or 
  86. its authorized dealer  with a copy of your receipt within ninety(90) days of 
  87. purchase;  or(b) if we are or the dealer is unable to deliver a replacement 
  88. diskette(s) which is free of defects in materials or workmanship, you may 
  89. terminate this Agreement by returning the software and all user 
  90. documentation to us or the dealer.

  93. IN NO EVENT WILL PHANTECH SOFTWARE INC. BE LIABLE TO YOU FOR ANY 
  94. DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR 
  95. CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE 
  96. SOFTWARE EVEN IF PHANTECH SOFTWARE INC. OR ITS AUTHORIZED DEALER HAS BEEN 
  97. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER 
  98. PARTY.

  100. Some states do not allow the limitation or exclusion of liability for 
  101. incidental or consequential damages so the above limitation or exclusion may 
  102. not apply to you.

  104. GOVERNING LAW
  105. This Agreement will be governed by the laws of the Province of Ontario.

  109. ACKNOWLEDGEMENT
  110. By opening the software package, you acknowledge that you have read this 
  111. agreement, understand it and agree to be bound by its terms and conditions.

  113. you further agree that this is the complete and exclusive agreement 
  114. between us which supersedes any proposal or prior agreement, oral or 
  115. written, and any other communications between us relating to the subject 
  116. matter of this agreement.
